Version: [VERSION AND DATE – TO BE CONFIRMED]

About these terms

These terms apply to quotations and orders from NEIMA UK INT LTD ("NEIMA") to business customers. NEIMA sells to businesses only. A written quotation or order confirmation may add to or replace these terms. Where there is a conflict, the signed document prevails.

Quotations

  • Quotations are in writing and are valid for the period stated in them
  • Prices depend on product, specification, quantity, destination, delivery terms and currency, and are not published
  • A quotation is not an order. An order is binding only when NEIMA confirms it in writing

Delivery terms

Delivery is on the Incoterms rule stated in the quotation. Lead times and shipping dates are estimates and are confirmed per order. NEIMA arranges transport through third-party freight and logistics providers.

Payment

Payment terms, currency, deposit and method are stated in the quotation or order confirmation. Goods are not released until the agreed payment condition is met. [STANDARD PAYMENT TERMS – DECISION REQUIRED]

Documents, duties and compliance

The buyer is responsible for import licences, product registration, duties and taxes in the destination country, unless the quotation states otherwise. NEIMA may refuse or suspend an order where required checks cannot be completed, including sanctions, anti-money-laundering and customer verification.

Inspection and claims

The buyer must inspect goods on receipt and notify NEIMA in writing of any shortage, damage or non-conformity within [NUMBER – DECISION REQUIRED] days, with supporting evidence.

Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, NEIMA is not liable for indirect or consequential loss, and delays caused by events outside its reasonable control. [LIABILITY LIMIT – TO BE SET BY SOLICITOR]

Governing law

These terms are governed by the law of England and Wales. [DISPUTE RESOLUTION – TO BE CONFIRMED]
